Terms of Service

The agreement that governs your use of PumpIQ.

These Terms of Service (the "Terms") are an agreement between you and PUMPIQ LLC, a Wyoming limited liability company ("PumpIQ", "we", "us"). They govern your access to and use of pumpiq.dev, the PumpIQ application, and related services (together, the "Service").

By accessing or using the Service you agree to these Terms, to our Privacy Policy, and to our Risk Disclosure, both of which are incorporated into these Terms by reference. If you do not agree, do not use the Service.

PLEASE READ THESE TERMS CAREFULLY. SECTION 18 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER THAT AFFECT HOW DISPUTES BETWEEN YOU AND PUMPIQ ARE RESOLVED. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 18.

1. The Service

PumpIQ is a software workspace for Solana research, trade preparation, and wallet automation. An AI assistant can research public blockchain data, prepare draft transactions and copy-trading configurations for your review, and monitor activity you ask it to watch.

The Service is software. We do not execute trades for you, hold or manage your assets, or make investment decisions on your behalf. Some features are gated or disabled, and the Service may change: features may be added, modified, gated, or removed at any time.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for complying with every law and regulation that applies to you.

You represent that you are not located in, organized in, or a resident of any country or region subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control, including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions, and that you are not named on any U.S. government list of prohibited, sanctioned, or restricted parties.

You agree not to use a VPN or any other technique to conceal your location for the purpose of circumventing these restrictions.

3. Your wallet and non-custody

PumpIQ is non-custodial. Managed wallets are created through Turnkey, a third-party wallet infrastructure provider, and their private keys are generated and held inside Turnkey’s infrastructure. PumpIQ never receives your private keys, recovery phrases, key export payloads, or unrestricted signing credentials, and has no authority to approve its own actions. External wallets remain under the control of your own wallet software and credentials at all times.

You are responsible for the credentials and authentication methods that control your wallets. If you lose access to them, PumpIQ cannot recover the wallet or the assets in it.

Every transaction requires your review and your signature. The AI assistant cannot sign or broadcast transactions.

4. AI output and no advice

The Service generates output with artificial intelligence models. AI output can be inaccurate, incomplete, stale, or wrong, and can misread market data. All output, including research, token information, draft trades, copy-trading proposals, alerts, and paid analysis, is information only.

Nothing in the Service is financial, investment, legal, accounting, or tax advice, and no output is a recommendation to buy, sell, or hold any asset. PumpIQ owes you no fiduciary duty. You alone decide whether to sign any transaction. Consider consulting a qualified professional before making investment decisions.

We make no representation about the future performance of any asset, strategy, or copied wallet. Past performance does not predict future results.

5. Drafts, proposals, and signing

Trade requests in the Service produce drafts. A draft does nothing until you review a fresh transaction preview and sign it with your wallet. A copy-trading configuration is inactive until you confirm its exact settings, and monitoring produces proposals, not trades.

Sending a request in chat creates a draft only. Nothing is signed or submitted until you sign it.

6. Fees and billing

Chat is included at no charge up to a daily allowance shown in the app. Paid analysis, plans, and other paid features are priced in the app, and any per-message charge is quoted before the message runs.

Swaps you complete through the Service are charged a PumpIQ fee, currently 0.50% of the swap, reduced to 0.40% for eligible token holders and capped at $5. Only a finalized swap owes this fee: failed, expired, refunded, and unreconciled actions never do. Current fees and allowances are published on the Docs page and may change; changes apply from the moment they are posted.

Payments are made in digital assets from your wallet and require your approval. You can revoke a billing authorization at any time in the app; revocation stops future charges but does not refund analysis already delivered. Except where required by law, completed charges are non-refundable.

Solana network fees are set by the network, not by PumpIQ, and are charged even when a transaction fails or expires. Price changes never apply retroactively.

7. Acceptable use

You agree not to:

  • use the Service to violate any law, regulation, or sanctions program, or on behalf of any sanctioned party;
  • engage in market manipulation, including wash trading, spoofing, or coordinated pump-and-dump activity;
  • probe, disrupt, overload, or attempt to gain unauthorized access to the Service or connected systems;
  • bypass or attempt to bypass rate limits, feature gates, billing controls, or policy checks;
  • scrape or bulk-extract data from the Service outside interfaces we provide for that purpose;
  • misrepresent your identity or your authority to act for another person;
  • infringe the rights of others, including intellectual property and privacy rights.

We may suspend or limit access that we reasonably believe violates this section.

8. Assumption of risk

Trading digital assets involves substantial risk, including the risk of losing everything you commit. Blockchain transactions are irreversible, network conditions vary, and token values can go to zero. The Risk Disclosure describes these risks in more detail and is part of these Terms.

By using the Service you accept these risks and agree that you use the Service at your own risk.

9. Third-party services

The Service depends on third parties we do not control, including the Solana network, Turnkey, AI model providers, blockchain data providers, price sources, trading venues and protocols, and your wallet software. We are not responsible for their availability, accuracy, security, or conduct.

Data shown in the Service, including prices, liquidity, and token metadata, comes from third parties and can be delayed, incomplete, or wrong.

10. Not a broker, adviser, or money transmitter

PumpIQ provides non-custodial software. We do not accept, hold, or transmit money or digital assets on your behalf, operate an exchange, or provide brokerage, order routing, or investment management. PumpIQ is not registered as a broker-dealer, investment adviser, commodity trading advisor, or money services business.

11. Intellectual property

PumpIQ owns the Service and its content, including software, text, designs, and trademarks. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service under these Terms. No other rights are granted.

You keep ownership of content you submit. You grant us a worldwide, royalty-free license to host, process, and display that content as needed to operate and improve the Service.

If you send us feedback or suggestions, we may use them without restriction or compensation.

12. Privacy

Our Privacy Policy describes what information we collect, how we use it, and the choices you have. By using the Service you agree to it.

13. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, OR CURRENT.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUMPIQ AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DIGITAL ASSETS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE FEES YOU PAID TO PUMPIQ IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

15. Indemnification

You agree to indemnify and hold PumpIQ and its members, officers, employees, and agents harmless from claims, damages, and expenses, including reasonable attorneys’ fees, arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

16. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access at any time if we reasonably believe you violated these Terms, created risk or legal exposure for us, or where required by law.

Because the Service is non-custodial, suspension or termination does not affect your control of your wallets or assets. Sections that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, survive termination.

17. Changes to these Terms

We may update these Terms by posting a revised version with an updated date. For material changes we will provide notice in the app. Your continued use of the Service after a revision takes effect means you accept it. If you do not agree, stop using the Service.

18. Dispute resolution and arbitration

Informal resolution first. Before filing a claim, you agree to contact us at legal@pumpiq.dev and give us 30 days to resolve the dispute informally.

Binding arbitration. Any dispute arising from or relating to these Terms or the Service that is not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted by a single arbitrator in Wyoming or by videoconference. Judgment on the award may be entered in any court with jurisdiction.

Class action waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPUTES WILL BE ARBITRATED ONLY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR PUMPIQ MAY PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

Exceptions. Either party may bring an individual claim in small claims court, or seek injunctive relief in court for infringement or misuse of intellectual property.

Opt out. You may opt out of this arbitration agreement by emailing legal@pumpiq.dev within 30 days of first accepting these Terms, stating your name, the wallet address or account identifier you use with the Service, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

19. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. For disputes not subject to arbitration, you and PumpIQ consent to the exclusive jurisdiction of the state and federal courts located in Wyoming.

20. General

These Terms, together with the Privacy Policy and Risk Disclosure, are the entire agreement between you and PumpIQ about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
